This Agreement shall be interpreted in accordance with the laws of the State of New York applicable to agreements executed and to be wholly performed therein. Any controversy or claim arising out of or in relation to this Agreement or the validity, construction or performance of this Agreement, or the breach thereof, shall be resolved by arbitration in accordance with the rules and procedures of the American Arbitration Association, as said rules may be amended from time to time with rights of discovery if requested by the arbitrator. The parties shall have the right to engage in pre-hearing discovery in connection with such arbitration proceedings. The parties agree hereto that they will abide by and perform any award rendered in any arbitration conducted pursuant hereto, that any court having jurisdiction thereof may issue a judgment based upon such award that the prevailing party in such arbitration and/or confirmation proceeding shall be entitled to recover its reasonable attorney’s fees, and expenses. You agree that the arbitration will be held in New York City. Any arbitration award shall be final, binding and non-appealable. Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. FreeFinancialPlanning.com's failure to enforce strict performance or insist upon any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. FreeFinancialPlanning.com's may assign its duties and rights under this Agreement to any party at any time without notice to you.
